The President shall be the principal executive officer of the Corporation and subject to the control of a membership; shall supervise and control the management of the Corporation in accordance with these by-laws.
The President shall sign, with any other proper officer, any deeds, mortgages, bonds, contracts or other instruments which may be lawfully executed on behalf of the Corporation, except where required or permitted by law to be otherwise signed and executed and except where the signing and execution thereof shall be delegated by the Board of Directors to some other officer or agent. In general, the President shall perform all duties as may be prescribed by the Board of Directors from time to time.
The President shall speak in the name of the Guild, shall prepare agendas for and preside at all meetings, and shall approve of all payments made by the Guild. The President may appoint chairwomen and chairmen to special committees as deemed necessary.

The Vice President in the order of their election unless otherwise determined by the Board of Directors shall, in the absence of disability of the President, perform the duties and exercise the powers of that office. In addition, they shall perform such other duties and have such other powers as the Board of Directors shall prescribe.
The Vice President shall arrange programs for the general meetings of the Guild, and in the absence of the President, shall fulfil the duties of the President. The Vice President shall act as Exhibits Chair and Programs Chair. The Exhibits Chair shall be responsible for finding venues for exhibiting members' art, for establishing the guidelines for submitting art to these exhibits, and for ensuring that personnel are available to mount, oversee and dismount these exhibits. The Program Chair shall seek out, propose, and organize Guild participation in exhibitions and other activities designed to increase public awareness of the Guild and it's members' work. The Program chair is also responsible for submitting Guild activities to the Newsletter Editor and the Publicity Chair.

The Secretary shall keep accurate records of the acts and proceedings of all meetings of members and directors. The Secretary shall give all notices required by law and these by-laws. The Secretary shall have general charge of the corporate books and records and the corporate seal, and the Secretary shall affix the corporate seal to any lawfully executed instrument requiring it. The Secretary shall sign such instruments as may require his/her signature, and in general, shall perform all duties incident to the office of Secretary and such other duties as may be assigned from time to time by the President of the Guild or by the Board of Directors.
The Secretary shall attend and keep minutes of all meetings of the Guild, it's Officers and Board of Directors. The Secretary shall conduct all correspondence and carry into execution all orders, votes, and resolutions not otherwise committed; shall keep a list of committees, and shall maintain a list of the expiration date of each Director's term of office. In the case of absence or disability of the Secretary, the President may appoint a Secretary Pro Tem.
The Treasurer shall maintain the financial records of the Guild. Maintain records of all receipts and disbursements to and from the Guild bank accounts. Present an annual financial report at the annual meeting summarizing the financial position at the beginning of the year.
The treasurer shall be responsible for collecting dues and any other income for th Guild, for dispersing Guild funds to make payment for any expenses authorized by the Executive Board and approved by the President, for keeping careful records of all transactions, and for reporting these transactions to the Executive Board and the members on a regular basis. Withdrawals or changes in interest bearing accounts shall require the signatures of two (2) unrelated officers of the Guild.
